1 Agreement Overview

Welcome to MaritimeHQ. These Terms of Service ("Terms") govern your access to and use of the MaritimeHQ platform, website, and services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

If you are using the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and the entity you represent.

You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement.

2 Account Terms

To access certain features of the Platform, you must create an account. When you do, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Unless otherwise agreed in writing, each company may maintain only one account on the Platform. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe to be duplicative or fraudulent.

3 Platform Services

MaritimeHQ is a B2B marketplace and directory platform connecting maritime professionals with companies, products, and services. Our Platform provides:

• Company profiles and listings
• Product and service directories
• Review and rating systems
• Company announcements and updates
• Search and discovery features
• Comparison tools

While we strive to maintain accurate and up-to-date information, we do not guarantee any specific business outcomes from using the Platform. The Platform is provided as a discovery and connection tool, and any business relationships formed through the Platform are solely between the respective parties.

4 User-Generated Content

The Platform allows you to post, submit, and share content including company information, product listings, reviews, and other materials ("User Content"). By posting User Content, you:

• Grant MaritimeHQ a worldwide, non-exclusive, royalty-free license to use, display, reproduce, modify, and distribute your User Content in connection with the Platform
• Represent that you own or have the necessary rights to post the User Content
• Accept responsibility for the accuracy and legality of your User Content

We reserve the right to remove any User Content that violates these Terms or that we deem inappropriate, without prior notice.

5 Acceptable Use Policy

When using the Platform, you agree not to:

• Use automated systems, bots, or scrapers to access or collect data from the Platform without our written permission
• Manipulate reviews, ratings, or other feedback systems
• Impersonate any person or entity, or misrepresent your affiliation
• Attempt to circumvent security measures or access restricted areas
• Interfere with or disrupt the Platform or servers
• Use the Platform for competitive intelligence gathering in a manner that violates these Terms
• Harvest or collect user information without consent
• Engage in any activity that could harm the Platform or its users

6 Intellectual Property

The Platform, including its design, features, content, and underlying technology, is owned by MaritimeHQ and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from the Platform without our express written permission.

You retain ownership of your User Content. However, by posting User Content, you grant us the license described in Section 4.

Trademarks, logos, and service marks displayed on the Platform are the property of their respective owners. Use of any third-party marks without permission is prohibited.

7 Third-Party Services

The Platform integrates with third-party services including:

• Stripe for payment processing
• Supabase for data services
• Cloudflare for security services

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

The Platform may contain links to external websites. These links are provided for convenience only, and we do not endorse or assume responsibility for the content of external sites.

Listing on MaritimeHQ does not constitute an endorsement of any company, product, or service. Users should conduct their own due diligence before entering into business relationships.

8 Payment Terms

Certain features of the Platform require a paid subscription. By subscribing to a paid plan, you agree to:

• Pay the applicable fees as described at the time of purchase
• Provide accurate billing information
• Accept automatic renewal unless you cancel before the renewal date

Payments are processed securely through Stripe. We do not store your payment card details.

Refunds may be provided at our discretion. Please contact us at hello@maritimehq.com for refund requests.

We reserve the right to change our pricing with 30 days' notice. Price changes will not affect your current billing period.

9 Disclaimers

We do not warrant that:

• The Platform will be uninterrupted, secure, or error-free
• Information on the Platform, including company listings, is accurate or complete
• Any listed company will meet your requirements or expectations
• The Platform will meet your specific business needs

10 Limitation of Liability

You agree to indemnify, defend, and hold harmless MaritimeHQ and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Platform
• Your User Content
• Your violation of these Terms
• Your violation of any rights of a third party

12 Dispute Resolution

Before initiating any legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at hello@maritimehq.com. We will attempt to resolve disputes through good faith negotiation within 30 days.

If informal resolution is unsuccessful, any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13 Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date.

Your continued use of the Platform after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Platform.

14 Termination

You may terminate your account at any time by contacting us or using the account settings. We may suspend or terminate your account at any time for violation of these Terms or for any other reason at our discretion.

Upon termination, your right to access the Platform ceases immediately. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) shall survive.
